1. Acceptance of Terms

By accessing nandhifabrics.com, requesting a quotation, placing an order, or otherwise engaging with Nandhi Fabrics ("the Company", "we", "us"), you ("the Buyer", "Customer", "User") agree to be bound by these Terms & Conditions, our Privacy Policy, and any additional terms communicated in our quotation, proforma invoice or sales contract. If you do not agree, please do not use this website.

2. Company Information

Nandhi Fabrics is a manufacturer & exporter of home textiles based in Karur, Tamil Nadu, India. Registered address: 14, Senthurai Road, Karur — 639001, Tamil Nadu, India. GSTIN and IEC (Import Export Code) details are provided on every commercial invoice.

3. Use of Website

You agree to use this website only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the website. You may not:

• Use the website to transmit unsolicited commercial communications ("spam").
• Attempt to gain unauthorised access to any part of the website or its underlying infrastructure.
• Reproduce, duplicate, copy, sell or resell any portion of the website without our written consent.
• Scrape content, product images or pricing for commercial republication.

4. Products, Pricing & Quotations

All product images, descriptions, dimensions and weights on the website are provided for general guidance. They do not constitute a binding offer. A binding contract is formed only when:

• You submit a written purchase order or confirmed sample approval;
• We issue a signed Proforma Invoice (PI); and
• You remit the deposit specified in the PI.

Prices are quoted Ex-Works (EXW) Karur or FOB / CIF as agreed per incoterm in the PI, in USD, EUR or INR. Prices are exclusive of destination-country import duties, taxes and clearance charges unless explicitly stated otherwise.

5. Orders, Payment & Cancellation

• Payment terms — typically 30% advance by T/T (wire transfer), 70% balance against scan copy of B/L (Bill of Lading). L/C at sight is accepted for orders above USD 50,000.
• Cancellation — custom orders (customised weaves, prints, embroideries, sizes, GSM) cannot be cancelled once production has started. Stock items may be cancelled before dispatch with a 10% handling fee.
• Taxes — Indian GST is charged as applicable on domestic supplies. International buyers are responsible for their own import duties and VAT.

6. Manufacturing, Sampling & Tolerances

• Samples — free for stocked items (buyer pays courier); chargeable for custom developments, refundable against a confirmed bulk order.
• Tolerances — industry-standard tolerances apply: ±3% on dimensions, ±5% on weight, ±5% on piece count per 20' FCL. Slight colour variation between dye lots is normal and not considered a defect.
• Lead time — 30–45 days from advance payment for stocked items, 45–75 days for custom developments, unless otherwise agreed in writing.

7. Shipping, Risk & Title

Risk passes to the buyer in accordance with the agreed Incoterm (Incoterms® 2020). Title to goods transfers upon receipt of full payment. Nandhi Fabrics insures shipments to the agreed Incoterm; additional buyer-requested insurance is billed at cost.

8. Inspection, Claims & Returns

• Buyers must inspect goods within 7 days of receipt and notify us in writing of any shortages, defects or non-conformities, with photographic evidence.
• Approved claims are resolved by replacement, credit note or refund at our discretion.
• Goods dispatched more than 60 days before a claim is raised are deemed accepted.
• Custom-made goods are non-returnable except for verified manufacturing defects.

9. Intellectual Property

All content on this website — logos, product photographs, weave patterns, designs, copy and code — is the property of Nandhi Fabrics or its licensors. Buyer-supplied designs and artwork are used solely to fulfil the buyer's order and are not reproduced, displayed or shared without written consent.

10. Limitation of Liability

To the maximum extent permitted by law, Nandhi Fabrics' total liability under any order shall not exceed the invoiced value of that order. We are not liable for indirect, consequential, incidental or punitive damages, including lost profits.

11. Force Majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including but not limited to natural disasters, pandemic, government action, war, port closure, labour strikes, transport disruption, raw-material shortages or power outages.

12. Governing Law & Dispute Resolution

These terms are governed by the laws of the Republic of India. Any dispute shall first be resolved amicably through good-faith negotiation within 30 days. Failing that, disputes shall be referred to arbitration under the rules of the Indian Council of Arbitration, seated in Coimbatore, Tamil Nadu, in the English language, by a sole arbitrator. The UN Convention on Contracts for the International Sale of Goods (CISG) is hereby expressly excluded.

13. Severability

If any provision of these terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14. Changes to these Terms

We may update these terms from time to time. The "Last Updated" date above will always reflect the latest version. Continued use of the website or placement of new orders after a change constitutes acceptance.
